1) Who we are
Quvent, Inc. (“Quvent,” “we,” “us,” “our”) provides a multi-tenant event management platform for creating event sites, ticketing, registrations, and live or on-demand video.

By creating an account, visiting our sites, or using our services, you agree to these Terms and to our Privacy Policy.
2) Key roles and definitions
- Organizer: The customer who creates events and delivers the event experience to Attendees.
- Attendee: A person who registers for or purchases access to events hosted by an Organizer on Quvent.
- Agency: A third party who builds and operates event sites for one or more Organizers.
- Services: Quvent’s software, APIs, hosted pages, streaming, storage, templates, and support.
- Connected Account: An Organizer’s Stripe account connected to Quvent for payouts.
3) Acceptance of terms
You must be at least 18 and have the authority to bind your organization. If you do not agree, do not use the Services.
4) Accounts and security
Provide accurate information and keep credentials secure. You are responsible for activity under your account. Notify us promptly of any suspected breach.
5) Plans, pricing, and fees
- Platform fee: For each paid ticket, Quvent charges a platform fee of $1.75. The platform fee is non-refundable except where required by law. Organizer refunds do not require Quvent to refund the platform fee.
- Subscriptions: Plan fees are billed in advance for the applicable term. You may cancel at any time. Access remains active until the end of the current paid term, then terminates. Subscription fees already paid are non-refundable except where required by law.
- Taxes: Fees are exclusive of taxes. You are responsible for taxes that apply to you, except those based on Quvent’s income or those Quvent is required to collect and remit as Merchant of Record.
6) Payments, Merchant of Record, and Stripe
- Merchant of Record: For all attendee transactions on Quvent, Quvent is the Merchant of Record. Quvent processes payments, applies payment processing fees, collects and remits taxes where required in the Merchant of Record capacity, and pays out net proceeds to the Organizer according to the applicable payout schedule.
- Stripe and payouts: Organizers must maintain eligibility with Stripe and accept the Stripe Services Agreement and Connected Account Agreement. Payout timing, reserves, reviews, and holds are determined by Stripe and risk controls. Quvent does not guarantee payout timing.
Stripe fees (pass-through, no Quvent markup)
- Transaction fee: 2.9% + 30¢ per successful charge. These are Stripe’s current rates and are pass-through. Quvent does not add any markup.
- Cross-border fee: +1.5% for international cards. Pass-through. No Quvent markup.
- Currency conversion fee: +1% when currency conversion is required. Pass-through. No Quvent markup.
- FX rates: Currency conversion uses Stripe’s prevailing rate at the time of charge or payout.
- Changes: Stripe sets these fees and may change them. Quvent will pass through Stripe’s fees and may update posted rates or reflect changes in the dashboard.
Refunds, chargebacks, and banking costs
- Refunds and chargebacks: Quvent administers refunds and chargebacks consistent with card network rules and applicable law. Organizers must post a clear refund policy and are responsible for resulting costs and negative balances. Quvent may deduct chargebacks, dispute fees, unpaid platform fees, or other amounts from current or future payouts or invoice you directly.
- Bank fees: Your bank may charge receipt or intermediary fees on payouts which Quvent does not control.
7) Role of Quvent and of Organizers
Quvent provides software and infrastructure. We are not the producer of events. Organizers are solely responsible for event delivery, safety, legality, descriptions, pricing, customer service, and compliance.
8) Organizer responsibilities
- Post clear event terms, pricing, and refund policy.
- Comply with laws and industry rules, including consumer protection, ticketing, accessibility, data privacy, and taxes.
- Secure all rights for streamed or recorded content, performances, music, and trademarks.
- Moderate user content and handle event-specific support and communications.
9) Attendee terms
- Your contract for event services is with the Organizer.
- Payment processing and any refunds are administered by Quvent as Merchant of Record per Section 6.
- Follow event codes of conduct and respect access controls. Do not share gated links or credentials.
10) Acceptable use
Do not use the Services to violate laws or third-party rights, upload unlawful or harmful content, abuse communications, scrape non-public data, bypass security, or interfere with the platform. We may remove content or suspend accounts to protect users or comply with law.
11) Content and licenses
- Your content: You retain ownership of the content you upload. You grant Quvent a worldwide, non-exclusive, royalty-free license to host, store, transcode, display, and distribute your content only to provide the Services.
- Our IP: Quvent owns the Services, software, and templates. No rights are granted except as needed to use the Services.
- DMCA: Send copyright notices to [[email protected]] with required details. We may remove content and close repeat infringer accounts.
12) Data protection and privacy
- Roles: For Attendee personal data, Organizers are the controller and Quvent is the processor.
- DPA: Our Data Processing Addendum forms part of these Terms when we process personal data for you.
- Compliance: You will obtain necessary consents, provide notices, and honor privacy rights.
- Security: We use reasonable administrative, technical, and physical safeguards. No system is perfectly secure. You must secure your accounts, webhooks, and integrations.
13) Term, cancellation, suspension, and data export
- Term: These Terms start when you first use the Services and continue until ended.
- Cancellation: You can cancel at any time in the admin panel. Access continues until the end of the paid term. Fees already paid are non-refundable except where required by law.
- Suspension or termination: We may suspend or terminate for unpaid fees, material breach, fraud risk, or unlawful use.
- Data export: Self-serve export tools are available while your account is active. Request export before closure. After closure we may delete data subject to legal retention.
14) Service levels and changes
We aim for reliable service and scheduled maintenance windows. Uptime is not guaranteed unless stated in a written SLA. We may update or remove features to improve security, performance, or compliance. If a change materially reduces core functionality for your plan, you may cancel per Section 13.
15) Third-party services
The Services integrate with third parties like Stripe and streaming or storage providers. Your use may be subject to their terms and fees. We are not responsible for third-party services.
16) Beta and trial features
Beta, trial, or preview features are provided as is, may change, and may be discontinued.
17) Warranties and disclaimers
The Services are provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Quvent does not guarantee outcomes, sales, views, or rankings.
18) Limitation of liability
To the maximum extent permitted by law, Quvent’s total liability for all claims in any 12-month period is limited to the greater of 1000 USD or the fees you paid to Quvent for the Services that gave rise to the claim in that period. We are not liable for indirect, incidental, special, exemplary, or consequential damages, or for lost profits, revenue, goodwill, or data. Some jurisdictions do not allow certain limits. In those places, the limits apply to the fullest extent permitted.
19) Indemnification
You will defend, indemnify, and hold harmless Quvent and its affiliates and personnel from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your events, your use of the Services, or your violation of laws or these Terms.
20) Publicity and branding
We may display your organization name and logo as a Quvent customer. You can opt out by emailing support. Follow any brand guidelines when referencing Quvent.
21) Communications
We may send you service, security, and administrative messages. You control marketing preferences in your profile. For SMS or email messaging you send to Attendees, you are responsible for consent and compliance.
22) Compliance notes for Organizers
- Follow local ticketing, refund, transfer, and price disclosure rules.
- Provide accessible experiences and content where required.
- Clear music, performance, and broadcast rights before streaming or recording.
- Do not collect children’s personal data without a lawful basis and required consents.
23) Dispute resolution, arbitration, and venue
These Terms are governed by the laws of the State of New York, without regard to conflict rules. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Rules in New York County, New York. Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect confidential information or IP. You and Quvent agree to resolve disputes only on an individual basis. No class actions or representative proceedings. If you are a consumer where arbitration or class waiver is not enforceable, mandatory local laws will apply.
24) Export controls and sanctions
Comply with U.S. and other applicable export and sanctions laws. Do not use the Services where prohibited.
25) Assignment
You may not assign your rights without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
26) Notices
Send legal notices to [[email protected]] and to our registered address. We may give notices by email to your account owner and by posting within the Services.
27) Entire agreement and order of precedence
These Terms, the Privacy Policy, any DPA, any SLA, and any Order Form comprise the entire agreement. If there is a conflict, the Order Form controls, then the DPA, then these Terms, then the Privacy Policy.
28) Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms with an updated “Last updated” date. Material changes will be announced in-app or by email. Your continued use after updates means you accept the changes.
Attachment A: Acceptable Use Policy
- No illegal, infringing, or harmful content.
- No harassment, hate, or threats.
- No malware, scraping of non-public data, or interference with platform operations.
- No sharing of gated content with unauthorized parties.
- No unsolicited marketing without valid consent and opt out.
Attachment B: Payments and Fees Detail
- Platform fee: $1.75 per paid ticket. Non-refundable except where required by law.
- Stripe transaction fee: 2.9% + 30¢ per successful card charge. Pass-through. No Quvent markup.
- Stripe cross-border fee: +1.5% for international cards. Pass-through. No Quvent markup.
- Stripe currency conversion fee: +1% when conversion is required. Pass-through. No Quvent markup.
- Disputes and refunds: Stripe dispute and refund processing fees may apply and can be deducted from payouts.
- Payout currency and banking costs: Your bank may charge receipt or intermediary fees that Quvent does not control.
- Changes: Stripe sets these fees and may change them. Quvent will pass through Stripe’s fees and may update posted rates.
Attachment C: Data Processing Addendum (Summary)
- Roles: Organizer is controller. Quvent is processor.
- Sub-processors: Current sub-processors list available on request with notice of material changes.
- Security: Quvent maintains safeguards appropriate to risk.
- International transfers: Where required, standard contractual clauses or other lawful mechanisms apply.
- Assistance: Quvent assists with data subject requests and incident notifications as required by law.
- Deletion: Upon termination or written request, Quvent deletes or returns personal data subject to legal retention.
